Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) are a binding agreement between you and Salvador Villagomez, doing business as SomaIQ, a Texas sole proprietorship (“SomaIQ,” “we,” “us,” or “our”), governing your access to and use of the somaiq.ai website and application (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

The Service is intended for licensed healthcare practitioners and their authorized staff who are at least 18 years old. It is not intended for consumers to self-diagnose or to make treatment decisions without a licensed practitioner. By using the Service you represent that you meet these requirements and that you are authorized to act for your practice.

3. What the Service does

SomaIQ helps licensed practitioners interpret laboratory results using AI-assisted analysis. It surfaces findings, functional ranges, and suggestions for the practitioner to review. The practitioner makes every clinical decision. SomaIQ is a decision-support tool and does not practice medicine.

4. Decision support, not medical advice

SomaIQ does not provide medical advice or create a doctor–patient relationship

SomaIQ’s outputs are clinical decision-support tools and do not constitute medical diagnosis or treatment. All findings are for review by a licensed practitioner, who makes every clinical decision.

AI-generated outputs can be incomplete or wrong and must be independently reviewed and verified by the practitioner before any clinical use. Using the Service does not create a doctor–patient relationship between SomaIQ and any patient, and SomaIQ is not responsible for the clinical judgments practitioners make. 5. Accounts and security

You are responsible for the credentials to your account and for all activity under it. Keep your password confidential, use the Service only through your own account, and notify us promptly at hello@somaiq.ai if you suspect unauthorized access.

6. Customer data, PHI, and HIPAA

No real patient health information until a BAA is signed

The Service currently operates on demonstration and synthetic data only. You may not upload, enter, or transmit any real protected health information (PHI) or other identifiable patient data until a written Business Associate Agreement (BAA) is in place between your practice and SomaIQ. Until then, use demonstration or synthetic data only.

When you do submit data, you represent and warrant that you have the authority and any required patient consent to do so and that your use of the Service complies with all laws applicable to your practice. As between you and SomaIQ, your practice owns and is responsible for the patient data you submit; once a BAA is in force, SomaIQ processes that data on your behalf as described in that agreement and our Privacy Policy.

7. Acceptable use

You agree not to:

  • upload real PHI or identifiable patient data before a BAA is in place;
  • use the Service for any unlawful purpose or in violation of any professional or regulatory obligation;
  • attempt to access, probe, or disrupt the Service, its security, or other users’ data;
  • reverse engineer, scrape, or resell the Service except as permitted by law; or
  • rely on SomaIQ outputs as a substitute for your own clinical judgment.

8. Intellectual property

SomaIQ owns the Service, including its software, design, and brand. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain all rights to the data your practice submits, and you grant us the limited license needed to operate and provide the Service to you.

9. Third-party services

The Service relies on third-party providers (for example, hosting, database, AI, and scheduling vendors listed in our Privacy Policy). Your use of those features may also be subject to those providers’ terms. We are not responsible for third-party services we do not control.

10. Fees and payment

Some plans are paid. The specific prices, billing period, and payment terms applicable to you will be presented at the time you subscribe. Unless stated otherwise, fees are non-refundable except where required by law. We may change pricing prospectively with notice.

11. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Service or its outputs will be uninterrupted, error-free, or suitable for any particular clinical purpose.

12. Limitation of liability

To the fullest extent permitted by law, SomaIQ will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to the Service. To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim (or USD $100 if you paid nothing).

13. Indemnification

You agree to indemnify and hold harmless SomaIQ from any claims, losses, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, your clinical decisions, or your submission of patient data — including any upload of real PHI before a BAA is in place.

14. Term and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or its users. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

15. Changes to these terms

We may update these Terms as the product evolves. We will revise the effective date above, and your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You agree that the exclusive venue for any dispute arising out of or related to these Terms or the Service is the state or federal courts located in Travis County (Austin), Texas, and you consent to their jurisdiction.
